Terms of Service

These Terms of Service (the “Terms”) form a binding legal agreement between you and Hub or Dub Inc. (“Hub or Dub,” “HOD,” “we,” “us,” or “our”) governing your access to and use of the Hub or Dub platform, HOD Engine, HOD Reports, HOD Scores, HOD Certificates, the HOD Wallet, our websites, mobile applications, APIs, and all related services (collectively, the “Services”).

Consumer reporting notice. Hub or Dub operates as a consumer reporting agency (“CRA”) as defined in Section 603(f) of the U.S. Fair Credit Reporting Act, 15 U.S.C. § 1681a(f), subject to applicable U.S. state consumer reporting laws. Where an HOD Report meets the definition of a “consumer report,” it may be obtained and used only for a permissible purpose certified in writing under 15 U.S.C. § 1681b. Non-consumer-reporting uses are governed separately by Section 4 below.
Account tiers and who may run reports. Free accounts (consumer and business) may claim, view, monitor, and dispute only their own HOD Score and HOD Report, and may not search for, access, or run HOD Scores or HOD Reports on any other person or business. Running HOD Reports on another person or business requires an active paid subscription and a certified permissible purpose: HOD Run+ for verified individuals conducting personal research, due diligence, and safety review that is not an FCRA-covered eligibility decision; HOD Pro+ for verified businesses and their authorized team members; and HOD Enterprise+ for verified organizations operating at volume. HOD Pro+ and HOD Enterprise+ are the only tiers permitted to obtain consumer reports for employment, tenant screening, credit, insurance, or other eligibility purposes under 15 U.S.C. § 1681b, and they carry identical Fair Credit Reporting Act obligations. All paid report-running tiers require identity verification (and business verification for HOD Pro+ and HOD Enterprise+), written permissible-purpose certification per run, and full audit logging. No plan, tier, add-on, seat count, or service level reduces, waives, or delays any right afforded to consumers under the FCRA or Regulation V. HOD Pro+ includes up to 3 HOD Report runs per person or business. Each additional run on that same person or business is $2 and is added to your next invoice. Only HOD Enterprise+ includes unlimited runs.
FCRA status
HOD Pro+ may obtain consumer reports for FCRA-covered eligibility decisions only after recording a specific permissible-purpose certification under 15 U.S.C. § 1681b for each request, and only with all required consumer disclosures, authorizations, and adverse-action notices.

$400/mo or $4,000/yr per location + $40/mo or $400/yr per user. Add-ons billed per location. HOD Pro+ includes up to 3 HOD Report™ runs per subject (per person or per business) across the subscribing organization. HOD Enterprise+

FCRA status
HOD Enterprise+ carries the exact same FCRA obligations as HOD Pro+. Volume, service level, and administrative controls change nothing about permissible purpose, accuracy, dispute, or adverse-action duties. No Enterprise entitlement waives, shortens, or bypasses any consumer protection.
Billing
$800/mo or $8,000/yr per location + $80/mo or $800/yr per user. Manual investigations included at no additional charge. No free trial. Auto-renews until cancelled.

No plan, tier, add-on, seat count, service level, or negotiated term sold by Hub or Dub reduces, waives, delays, or circumvents any right afforded to consumers under the Fair Credit Reporting Act (15 U.S.C. § 1681 et seq.), Regulation V (12 C.F.R. Part 1022), or any other applicable federal or territorial law. HOD Enterprise+ is not an exception. Every consumer keeps the same rights to free file disclosure, dispute, reinvestigation, correction, deletion of unverifiable information, notice of adverse action, and a record of who accessed their file, regardless of which plan the requesting party holds or how much that party pays.

Consumer reports are furnished only where a permissible purpose exists under FCRA § 604 (15 U.S.C. § 1681b). Every request on HOD Pro+ and HOD Enterprise+ requires a specific, recorded certification of purpose tied to the requesting seat, with IP address, timestamp, and user agent retained in the audit trail. Hub or Dub may audit certifications, decline requests, and suspend or terminate access for misuse. Requests without a permissible purpose are refused, and no plan can purchase an exemption from this requirement.

1. Eligibility, capacity, and identity verification

You must be a resident of the United States or a U.S. territory, at least eighteen (18) years old, and legally capable of entering into a binding contract. You must not be barred from receiving the Services under applicable U.S. law, including sanctions programs administered by the Office of Foreign Assets Control (“OFAC”) and the U.S. Department of Commerce Export Administration Regulations. As part of account activation, you agree to complete identity verification, which may include document review, liveness detection, biometric comparison, address verification, and screening against sanctions and watchlists.

1A. Minimum age requirement (18+)

To maintain responsible reporting and ensure compliance with applicable laws and policies, Hub or Dub requires all individuals to be at least eighteen (18) years of age to claim, activate, access, or maintain an HOD Score™ or HOD Report™ for themselves.

The system will not permit any individual under 18 to independently claim or activate an HOD Score™ or HOD Report™ associated with their identity, nor may a person under 18 establish or claim an HOD Score™ or HOD Report™ for a business or organization.

Age eligibility may be verified during the account, identity, or score-activation process. Accounts that do not meet the minimum age requirement may be restricted from claiming or activating a score or report. There are no exceptions, administrative overrides, or parental-consent pathways.

2. The Services and the real-time verification principle

Hub or Dub provides a human-verified, investigator-led reputation intelligence platform. HOD Reports and HOD Scores are not automatically generated and are not continuously scraped or auto-pulled from public-record databases. Information is manually researched, reviewed, validated, documented, and updated in real time as new HOD Drops are submitted by users or identified by Hub or Dub's Investigation Team through authorized background screenings, consumer-submitted documentation, references, court-record research, credit-related screening where legally permissible, business records, and other verifiable sources. Every submission and material change is subject to mandatory manual verification by our Investigation Team and Back Office review team before it is published or permitted to influence an HOD Score. Once verified, HOD Scores update in real time. Hub or Dub does not publish, display, or calculate scores from unverified claims, anonymous accusations, or speculative content.

2A. Claiming a HOD Score, HOD Drops, and mandatory review cycles

When a consumer claims or activates a HOD Score, the account is automatically routed into Hub or Dub's secure back-office investigation queue, which triggers a required manual review. Investigators review the information and documentation submitted by the consumer and conduct a comprehensive reputation and background review to identify, corroborate, document, and verify relevant reportable information before it is reflected within the consumer's HOD Score or profile.

Every user may submit HOD Drops about themselves, another person, or a business in real time. Submitting a HOD Drop is 100% free for every user, on every plan. Hub or Dub charges no fee, credit, or other consideration for creating, submitting, or publishing a HOD Drop. Self-reporting is strictly limited to information about the authenticated user; third-party submissions through the self-reporting workflow are blocked. Running HOD Reports on another person or business is available exclusively to HOD Run+, HOD Pro+, and HOD Enterprise+ subscribers; Free Plan and My HOD+ users may only view, manage, and monitor their own HOD Score and associated reports. Submitted HOD Drops are routed through the applicable intake, review, verification, documentation, and investigation workflows before being incorporated into any HOD Score or HOD Report.

Every active consumer account is automatically placed into a mandatory comprehensive review cycle at least once every three (3) months. Each cycle creates a recurring investigation task requiring the Investigation Team to re-evaluate the account, review newly submitted information and documentation, identify potentially relevant new HOD Drops, verify existing information, resolve discrepancies where possible, and update the HOD Score and associated reports as appropriate. Final verification and all substantive reputation determinations remain subject to human review. HOD Scores therefore function as continuously maintained reputation profiles supported by documented investigation and verification processes, not unverified automated data aggregation.

2B. Score integrity, centralized review, and the thirty (30) day reporting duty

Each HOD Score is calculated entirely by the system based solely on information that has been manually reviewed, verified, and approved or rejected by the Hub or Dub Back Office. No user, subscriber, Back Office employee, or other person can manually alter, configure, inflate, suppress, or otherwise manipulate a HOD Score or its numerical calculation. As verified HOD Drops, inquiries, disputes, life updates, and other qualifying information are processed, the system automatically recalculates the affected HOD Score in real time according to Hub or Dub's proprietary scoring methodology. Score changes are deliberately calibrated so that a single reporting or isolated event cannot cause dramatic score fluctuations; meaningful movement requires sustained, verified, and substantive contributions to the individual's or business's record. Nothing submitted to the system affects a HOD Score until it has been manually reviewed and acted upon by the Back Office, and unanswered or unprocessed matters produce no scoring change.

All incoming and outgoing inquiries, tickets, disputes, HOD Drops, HOD Score claim requests, verification requests, and related activities are routed through one centralized, comprehensive Back Office queue, providing authorized staff with a single real-time workspace to review, investigate, approve, reject, resolve, and document every matter.

Individuals and businesses are responsible for reporting material positive and negative life or business updates to Hub or Dub as they occur, including employment changes, housing or property acquisitions, vehicle purchases, terminations, arrests, probation, and other qualifying developments. Reportable events must be submitted no later than thirty (30) days after they occur, so that HOD Reports remain current, evidence-based, and continuously maintained.

2C. Submitting HOD Drops

Submitting HOD Drops means providing Hub or Dub with verified information about yourself, your business, another person, or another business that may contribute to a HOD Report™. HOD Drops help create a more complete, evidence-backed representation of an individual's or business's real-time reputation. Every HOD Drop must be supported by credible, verifiable documentation and/or clear images or videos sufficient to substantiate the information being submitted. All HOD Drops are manually reviewed and verified by the Hub or Dub Investigation Team before they can be approved and added to a HOD Report™; submissions that cannot be independently substantiated, verified, or meet Hub or Dub's requirements will be rejected and are non-refundable. Submitting false, misleading, fraudulent, defamatory, or intentionally manipulated information is strictly prohibited. Whether you are documenting your own history, strengthening your business profile, or submitting verified evidence concerning another person or business, every HOD Drop should be factual, relevant, accurate, and supported by evidence.

3. Accounts and account security

  • You are responsible for all activity conducted under your account and for safeguarding your credentials.
  • One active device per account is permitted; a new sign-in ends other active sessions.
  • You must provide accurate, current, and complete information and keep it updated.
  • You must notify us promptly at security@hubordub.com of any known or suspected unauthorized access.
  • We may suspend or terminate accounts suspected of misuse, fraud, resale, unauthorized automated access, or violation of these Terms, at our sole discretion and without prior notice.

4. Consumer reporting vs. non-consumer-reporting use

The Services are used in two distinct capacities that carry different legal requirements:

  • Consumer reporting use. When an HOD Report is furnished to a third party for a purpose described in 15 U.S.C. § 1681b (including credit, insurance, employment, tenant screening, or written instructions of the consumer), the report is a “consumer report” and both Hub or Dub and the requesting party are bound by the FCRA and equivalent state statutes. The requesting party must certify the permissible purpose in writing, comply with all user obligations under 15 U.S.C. § 1681e(a), and issue any required adverse action notice under 15 U.S.C. § 1681m.
  • Non-consumer-reporting use. Personal, journalistic, safety, due-diligence, and public-interest uses that do not meet the FCRA definition of a “consumer report” are permitted subject to Sections 6 and 7 and to applicable non-FCRA law, including state privacy laws.

You are solely responsible for correctly classifying your intended use. HOD Engine continuously monitors query patterns, exports, and API traffic for signals of undisclosed regulated use and may block, throttle, or terminate access without prior notice.

5. Subscriptions, billing, renewal, cancellation, and refunds

Detailed billing terms are set out in the Billing, Subscriptions & Refund Policy, which is incorporated by reference. In summary:

  • HOD Score activation. HOD Score activation is free for every account. Activation is completed after identity verification, is not a subscription, and does not recur. Where a verified identifier is already linked to an active HOD Score owned by the same verified account, the account is linked to the existing score. Third parties are prohibited from activating or claiming a HOD Score on behalf of another verified identity.
  • Paid plans renew automatically at the then-current price and cadence until cancelled through your account or by written notice.
  • Fees are billed in advance in U.S. dollars and are exclusive of applicable federal, state, and local taxes and surcharges, which are your responsibility.
  • Fees are non-refundable except (i) where required by applicable U.S. state consumer-protection law, and (ii) under the discretionary refund windows set out in the Billing Policy.
  • You authorize us and our payment processors to charge the payment method on file for all recurring and one-time charges, including retries following failed authorizations.
  • Promotional pricing, HOD Credits, and score-boost credits are non-transferable, have no cash value, and expire in accordance with the terms in effect at the time of purchase.
All purchases on Hub or Dub are final, non-refundable, and non-transferable. This applies to every charge on the platform, including report purchases (guest and account), HOD Pro+ subscriptions, activation and implementation fees, HOD Credits, account fees, add-ons, and any other paid feature. Once a purchase is completed it cannot be canceled, refunded, credited, exchanged, transferred to another person or account, or applied toward a future purchase, regardless of whether the report has been viewed, downloaded, or used. If a HOD Pro+ subscription is suspended, terminated, expires, or is canceled by either party, all unused HOD Credits are immediately forfeited on the effective date, have no cash value, and cannot be redeemed, refunded, transferred, or restored. This policy applies at all times, without exception. You must acknowledge and agree to these terms before completing any purchase or using any paid features on Hub or Dub.

5A. HOD Pro+ and HOD Enterprise+ subscription fees and unused credits (final, non-refundable, non-transferable)

All fees paid for a HOD Pro+ or HOD Enterprise+ subscription, including the monthly or annual base fee, per-location base fees, additional team-member seats, prepaid HOD Credits purchased against a HOD Pro+ workspace, and any add-on charges, are final, non-refundable, and non-transferable once charged, except where a mandatory consumer-protection law of your jurisdiction expressly requires otherwise.

If a HOD Pro+ or HOD Enterprise+ subscription is suspended, terminated, expires, or is canceled for any reason, whether by the subscriber or by Hub or Dub (including cancellation for non-payment, breach of the Terms, chargeback, sanctions screening, or trust-and-safety action), all unused HOD Credits sitting in the affected workspace wallet are immediately forfeited as of the effective date of the suspension or cancellation. Forfeited credits have no cash value, cannot be redeemed, refunded, transferred, or restored, and will not carry over to any future subscription, workspace, replacement plan, or successor account, whether under the same ownership or otherwise. Reactivating the same workspace after forfeiture does not revive previously forfeited credits. The HOD Pro+ or HOD Enterprise+ subscription itself is non-transferable and is tied to the verified business entity and workspace on file. This Section is a material term of the parties' agreement and is enforceable to the maximum extent permitted by applicable law.

6. Evidence-only publication and manual verification

Only documented submissions accompanied by verifiable evidence and lawfully accessible public findings are eligible to influence an HOD Report or HOD Score. Every submission passes through mandatory human review by our Back Office prior to publication. Approved findings are added in real time; disputed findings are withheld or removed pending resolution; and every action is written to an immutable audit log. Findings cited in a report are attributed to their underlying evidence, and opinions or inferences derived from that evidence are identified as such.

7. Dispute, correction, reinvestigation, and appeal rights

Every subject of an HOD Report has the right to submit a dispute, correction, mistaken-identity, source-removal, likeness, or copyright complaint through the Disputes, Corrections & Takedown Policy. Where the FCRA or an equivalent statute applies, we reinvestigate the disputed information within thirty (30) days (extended by up to fifteen (15) days if you submit additional information during that period) as required by 15 U.S.C. § 1681i. We provide the results of the reinvestigation, delete or modify inaccurate information, and, at your request, notify prior recipients of the corrected report. Continued good-faith accuracy allows scores to improve over time as verified evidence is added.

8. Adverse action and consumer disclosure obligations

Any business or individual that takes an adverse action against a consumer based in whole or in part on an HOD Report obtained for an FCRA-permissible purpose must provide the consumer with (i) notice of the adverse action, (ii) the name, address, and toll-free number of Hub or Dub, (iii) a statement that Hub or Dub did not make the decision and cannot provide the specific reasons for it, and (iv) notice of the consumer’s right to obtain a free file disclosure and to dispute the accuracy or completeness of the information, in accordance with 15 U.S.C. § 1681m. Users of HOD Reports must maintain records demonstrating compliance and produce them to Hub or Dub on request.

9. Permissible purpose certification and access control

Any user accessing an HOD Report for an FCRA-regulated purpose certifies in writing at each access, and reaffirms at each renewal, (i) the specific permissible purpose relied upon, (ii) the identity of the consumer or subject, (iii) the intended use, (iv) compliance with all federal, state, local, and nationwide laws applicable to that use, and (v) that the user will use the information for no other purpose. Hub or Dub may audit compliance, require additional certifications, and revoke access for any actual or suspected misuse.

10. Acceptable use and prohibited conduct

You will not, and will not permit any person to:

  • Resell, sublicense, syndicate, white-label, mirror, or otherwise monetize the Services, HOD Reports, HOD Scores, HOD Certificates, or any output, in whole or in part, except under a written commercial agreement executed by Hub or Dub.
  • Use the Services to harass, stalk, threaten, defame, dox, blackmail, extort, discriminate against, or physically harm any person.
  • Submit false, fabricated, misleading, or unlawful content, impersonate another person, or misrepresent authority to act on behalf of any person or entity.
  • Scrape, harvest, mirror, reverse engineer, decompile, or attempt to derive the underlying datasets, models, prompts, embeddings, weights, prompts, or scoring methodology.
  • Interfere with, disrupt, probe, or circumvent any security, rate-limiting, authentication, or access control mechanism.
  • Use bots, scripts, or automated means to access the Services other than through our published APIs under an active written authorization.
  • Use the Services in violation of any applicable law, regulation, sanctions program, export control, anti-money-laundering requirement, or third-party right.

Hub or Dub strictly prohibits the unlawful, fraudulent, deceptive, discriminatory, abusive, unauthorized, or otherwise improper use of any HOD Score™, report, assessment, record, data, information, finding, or other content provided, generated, discovered, maintained, or disclosed through Hub or Dub, including any misuse by employees, consumers, businesses, subscribers, account holders, report recipients, or other users. Each individual or business that accesses, orders, receives, runs, reviews, relies upon, shares, or otherwise uses an HOD Score or report is solely and independently responsible for ensuring that their use complies with all applicable laws, regulations, contractual obligations, disclosures, authorizations, and Hub or Dub policies, and Hub or Dub does not authorize any use that is prohibited by applicable law or its policies.

HOD Engine detects and flags violations in real time and may impose immediate suspension, termination, score adjustments, forfeiture of prepaid fees, permanent platform bans, restitution claims, civil action, and referral to law enforcement or regulators. Remedies are cumulative and non-exclusive.

11. Sanctions, export controls, and anti-money-laundering

You represent and warrant that you are not, and are not owned or controlled by, a person located in a comprehensively sanctioned jurisdiction or listed on the U.S. Specially Designated Nationals list or the U.S. Entity List. You will not use the Services in violation of applicable export controls or in furtherance of money laundering, terrorist financing, human trafficking, sanctions evasion, tax evasion, or any other financial crime. Hub or Dub may perform screening at account creation, periodically thereafter, and prior to any transaction, and may block, freeze, or terminate access based on the results.

12. HOD Wallet, credits, and financial disclosures

The HOD Wallet is a per-user, append-only credit ledger visible in your account. Credits purchased, granted, deducted, refunded, or otherwise adjusted are recorded in real time. Credits are not legal tender, are non-transferable except as expressly permitted, carry no interest, and expire according to the terms in effect at the time of purchase. Refunds and credit adjustments are made in accordance with the Billing Policy and applicable U.S. consumer-protection law, including California Civil Code § 1749.5 for stored-value obligations and comparable statutes nationwide.

13. Intellectual property

Hub or Dub, HOD Engine, HOD Report, HOD Score, HOD Certificate, and all associated marks, software, models, scoring methodologies, databases, and content are owned by Hub or Dub Inc. or its licensors and are protected by copyright, trademark, patent, trade secret, database, sui generis, and other intellectual property laws nationwide. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services solely for their intended purpose. Alleged infringement of copyright in material appearing on our platform may be reported under the DMCA & Intellectual Property Policy.

14. Feedback

Any feedback, suggestions, or ideas you provide are non-confidential, and you grant Hub or Dub a perpetual, irrevocable, nationwide, royalty-free, sublicensable license to use, reproduce, modify, and exploit them without restriction or attribution.

15. Ownership, independence, and legal process

Hub or Dub Inc. is a privately owned and operated corporation, 100% owned and operated by Stutson Global Inc. under the Stutson Family Trust, a Nevada based irrevocable trust owned and controlled privately by the Stutson family. Hub or Dub Inc., HOD Scoring & Reporting Inc., HOD Investigations Inc., HOD Clubs Inc., HOD Investments Inc., and HOD Technologies Inc. are all held under that same ownership structure., and maintains its National Headquarters at 101 6th Avenue, 9th Floor, New York, New York 10013 and operates remotely throughout the United States and all U.S. territories. Hub or Dub has no outside investors, governmental ownership, political affiliation, unauthorized third-party control, or undisclosed corporate partners. Hub or Dub operates independently and maintains sole discretion over its business operations, methodologies, verification processes, reputation scoring systems, technology, policies, personnel, and organizational decisions. Hub or Dub Inc. is an independent private company and has no direct partnership, affiliation, endorsement, sponsorship, agency relationship, contractual relationship, or other formal relationship with any federal, state, local, territorial, or foreign government, government agency, governmental authority, or foreign governmental entity, unless expressly disclosed in writing by Hub or Dub. This independent private status applies across all Hub or Dub agreements, terms, conditions, policies, disclosures, reports, communications, and other materials. Nothing in any Hub or Dub service, report, score, account, or communication constitutes governmental approval, certification, endorsement, or affiliation, and all users remain solely responsible for their own decisions and uses of Hub or Dub information. No political figure, government agency, public official, private individual, organization, or other outside party has the authority to dictate, influence, alter, suppress, or otherwise control Hub or Dub’s operations, scoring methodologies, policies, products, or services, and nothing we do is subject to political direction, favoritism, outside influence, or unauthorized interference.

Hub or Dub does not recognize, honor, process, or voluntarily comply with purported governmental, administrative, regulatory, investigative, or third-party demands that are not legally valid and properly authorized through a court of competent jurisdiction. Where legally permitted, any request seeking protected information, records, data, or other compelled action must be supported by a valid, properly issued, and legally enforceable court order or other judicial process signed by a duly authorized judge, rather than an unauthorized administrative document, informal request, demand, correspondence, subpoena, or directive lacking legally sufficient authority. 17. Warranty disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, HOD ENGINE, HOD REPORTS, HOD SCORES, HOD CERTIFICATES, AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT. HUB OR DUB DOES NOT WARRANT THAT OUTPUT IS ERROR-FREE OR THAT ACCESS WILL BE UNINTERRUPTED. AUTOMATED, EVIDENCE-DERIVED OUTPUT MAY CONTAIN OMISSIONS OR FALSE POSITIVES DESPITE MANUAL REVIEW. NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY WARRANTY OR LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

18. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HUB OR DUB AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR REPUTATION, ARISING OUT OF OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS AND THE SERVICES WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO HUB OR DUB IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100. NOTHING IN THIS SECTION LIMITS LIABILITY FOR (I) FRAUD OR FRAUDULENT MISREPRESENTATION, (II) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, (III) WILLFUL FCRA VIOLATIONS UNDER 15 U.S.C. § 1681n, OR (IV) ANY OTHER LIABILITY THAT CANNOT LAWFULLY BE LIMITED.

19. Indemnification

You will defend, indemnify, and hold harmless Hub or Dub and its affiliates, officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your access to or use of the Services, (b) your breach of these Terms or any law, (c) your violation of any third-party right, (d) any content you submit, or (e) any regulated or improper use of an HOD Report obtained through your account.

20. Force majeure

Neither party is liable for any failure or delay in performance (other than payment obligations) caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, cyberattack, denial-of-service, failure of the public internet, utility failure, epidemic, pandemic, labor dispute, governmental action, embargo, sanctions, or extreme weather.

21. Governing law, arbitration, and class action waiver

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles, except that mandatory consumer-protection laws of your jurisdiction of residence continue to apply where they cannot be contractually waived. Any dispute arising out of or related to these Terms or the Services will be resolved by final and binding individual arbitration administered by JAMS in Wilmington, Delaware, under its Streamlined Arbitration Rules. You and Hub or Dub each waive any right to a jury trial and to participate in any class, collective, consolidated, or representative action.

Jurisdiction-specific exceptions. Nothing in this section (i) prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction for infringement or misappropriation of intellectual property or breach of confidentiality; or (ii) limits the right of any consumer to complain to a state attorney general, consumer regulator, or ombudsman with jurisdiction over Hub or Dub. Users in California retain the right to opt out of arbitration by written notice to legal@hubordub.com within thirty (30) days of first accepting these Terms.

22. Suspension and termination

We may suspend or terminate your access at any time, with or without notice, for any reason, including suspected violation of these Terms, non-payment, sanctions or watchlist screening results, or a lawful order. Hub or Dub reserves the right, to the fullest extent permitted by law and its governing agreements, to investigate suspected misuse, restrict or suspend access, terminate accounts, permanently ban users or businesses, decline services, or otherwise take appropriate action at its sole discretion when an account or activity violates applicable law, Hub or Dub policies, contractual requirements, or responsible-use standards. You may terminate your account at any time through your account or by written notice.

If an account is permanently restricted or terminated after an HOD Score or report has been established, the individual or business may, where legally required or otherwise permitted by Hub or Dub, retain the ability to claim or access applicable consumer rights associated with that HOD Score, but will not be eligible to access restricted premium functionality, subscribe to paid plans, purchase additional services, or receive other account benefits unless Hub or Dub expressly determines otherwise.

Sections that by their nature should survive termination will survive, including Sections 5 (final invoicing), 6, 7, 12, 13, 14, 16 through 24, and any other provision that expressly or implicitly survives.

23. Accessibility

Hub or Dub is committed to conforming the Services to Web Content Accessibility Guidelines (WCAG) 2.2 Level AA. Our accessibility statement, accommodations process, and contact channel are set out in the Accessibility Statement.

24. Children

The Services are not directed to, and we do not knowingly collect personal information from, individuals under the age of eighteen (18). If you believe we have inadvertently collected such information, contact privacy@hubordub.com and we will delete it in accordance with applicable law, including the Children’s Online Privacy Protection Act (15 U.S.C. § 6501 et seq.).

25. Regulatory cooperation and audit rights

We cooperate with regulators, supervisory authorities, and law enforcement acting under valid legal process. Business customers and API partners agree to reasonable audit rights sufficient to demonstrate compliance with FCRA permissible purpose obligations, sanctions screening, and data-protection commitments, on reasonable advance notice and subject to confidentiality.

26. Changes; severability; assignment; entire agreement

We may modify these Terms at any time. Material changes are announced through the Services and, where required, by email. Continued use after the effective date constitutes acceptance. If any provision is held unenforceable, the remaining provisions remain in full force. No waiver is effective unless in writing. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. These Terms, together with the Terms of Use, Privacy Policy, and other policies referenced above, constitute the entire agreement between you and Hub or Dub regarding the Services and supersede all prior understandings.

Hub or Dub operates independently as a private-sector organization and is not a government agency, government-sponsored entity, law-enforcement agency, or governmental representative.
